1. General Provisions

These Terms of Service ("Terms") dictate the relationship between Vistastonicvault Media Ltd. ("Company", "we", "us") and any entity or individual ("Client", "User", "you") engaging our media production services, renting our physical facilities, or utilizing our digital infrastructure. By engaging our services, you accept these Terms in full.

2. User Obligations

Clients are required to ensure that all raw materials, scripts, and digital assets provided to the Company for post-production, VFX, or broadcast do not violate any civil or criminal laws. The Client assumes full responsibility for obtaining necessary clearances, location releases, and talent agreements for any media captured within our facilities or utilizing our equipment.

Users must comply with all physical safety protocols while operating within our London facility, particularly concerning high-voltage lighting rigs, heavy camera support equipment, and acoustic isolation rooms.

3. Intellectual Property Rights (IP)

The ownership of final rendered masters and final cuts transfers to the Client strictly upon full settlement of all associated invoices. Until such financial obligations are met, Vistastonicvault retains a lien on all physical and digital assets created.

Vistastonicvault retains full ownership of proprietary methodologies, custom software scripts, node architectures, and custom 3D assets generated during the production process, unless specifically executed as a work-for-hire contract. The Client is granted a perpetual, non-exclusive license to utilize the final delivered files in their intended format.

4. Limitation of Liability

While Vistastonicvault employs rigorous data redundancy protocols, including RAID arrays and offsite backups, digital media is inherently volatile. The Company’s liability for lost, corrupted, or damaged data is strictly limited to the replacement cost of the raw physical media (e.g., the cost of a hard drive or CFexpress card) and a refund of the technical services directly related to the failed transfer.

We are not liable for indirect, consequential, or economic losses, including lost broadcast revenue, resulting from technical failures, transmission latency, or force majeure events during live broadcasts or post-production delivery.

5. Termination Protocols

Either party may terminate a production agreement with written notice if the other party commits a material breach of these Terms and fails to remedy the breach within 14 days of notification. Upon termination, the Client is liable for all billable hours and equipment rentals utilized up to the point of termination. Access to our digital asset management portals will be revoked immediately upon contract termination.

6. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms, including any questions regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which Rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be London, United Kingdom.
